These Terms of Service ("Terms") constitute a legally binding agreement entered into between you ("User", "you", or "your") and Procuritage ("Procuritage", "Company", "we", "us", or "our"), governing your access to and use of our website, algorithmic quantitative tools, dashboard, software applications, and related services (collectively, the "Platform").
By registering for an account, accessing, or interacting with the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our related policies. If you do not agree with any provision of these Terms, you must immediately cease accessing and using the Platform.
1. Eligibility and User Representation
To access or utilize the Platform, you must meet the following eligibility conditions:
- You are at least eighteen (18) years of age or have attained the legal age of majority in your jurisdiction.
- You possess the full power and legal capacity to enter into this binding agreement.
- You are not a resident or citizen of, nor accessing the Platform from, any territory subject to comprehensive sanctions or trade embargoes administered by Ireland, the European Union, the United Nations, or other applicable authorities.
- Your use of our algorithmic analytics complies with all local statutory laws, regulatory frameworks, and tax obligations relevant to your domicile.
2. Account Registration and Access Controls
Access to certain computational features and automated monitoring mechanisms requires you to create an authorized account. You agree to provide accurate, current, and complete details during registration and maintain the integrity of such information. You are solely responsible for safeguarding your login credentials, API secrets, and multi-factor authentication tokens. Any action performed through your credentials will be deemed executed by you, and you must notify us immediately upon learning of any unauthorized access or security breach.
3. Scope of Software and Algorithmic Services
Procuritage delivers quantitative software suites, real-time market telemetry, predictive algorithmic modeling, and automated strategy modules focused on cryptocurrencies and related digital financial instruments. You expressly acknowledge and accept that:
- Procuritage is a technology provider, not an investment fund, licensed broker-dealer, financial planner, or registered asset custodian.
- The Platform does not execute discretionary custody of consumer assets; user integrations interface through secure external exchange interfaces or user-controlled API keys.
- Past algorithmic modeling, historical backtests, or hypothetical yield calculations displayed on the interface do not represent or guarantee future performance.
4. Permitted Use and Prohibited Activities
You agree to use the Platform strictly for lawful purposes and in conformance with these Terms. You shall not:
- Decompile, reverse engineer, disassemble, or derive the underlying algorithmic architecture or source code of Procuritage.
- Deploy automated scraping bots, automated scrapers, or continuous extraction spiders that burden or degrade platform infrastructure without prior written authorization.
- Interfere with platform telemetry, bypass rate limiters, or introduce malicious payloads, viruses, worms, or trojans.
- Engage in abusive trading practices, spoofing, wash trading, market manipulation, or money laundering activities via linked third-party trading endpoints.
5. Intellectual Property Rights
All intellectual property rights associated with the Platform, including but not limited to algorithmic logic, trade signal models, user interfaces, documentation, visual designs, trademarks, and source code, belong exclusively to Procuritage or its licensors. We grant you a revocable, non-exclusive, non-transferable, limited license to access and interact with the platform interface purely for personal and internal operational usage.
6. Disclaimers of Warranties
The Platform is delivered on an "as is" and "as available" basis without warranties of any kind, whether statutory, express, or implied. Procuritage expressly disclaims all implied warranties of merchantability, fitness for a particular quantitative application, quiet enjoyment, and non-infringement. We do not warrant that platform operations will be uninterrupted, bug-free, or entirely secure, nor do we warrant that algorithmic signals will yield profitable market positions.
7. Limitation of Liability
To the maximum extent permitted under Irish and applicable European law, in no event shall Procuritage, its directors, developers, or affiliates be liable for any indirect, incidental, special, exemplary, or consequential losses, including lost profits, loss of capital, software downtime, slippage on trading venues, or loss of digital asset balances. Our aggregate cumulative liability arising out of these Terms or use of the platform shall not exceed the fees paid by you to Procuritage during the three (3) months immediately preceding the event giving rise to liability.
8. Governing Law and Dispute Resolution
These Terms, and any dispute, controversy, or claim arising out of or related to them, shall be governed by and construed in accordance with the laws of Ireland, without regard to conflict of law principles. The parties agree that any formal dispute that cannot be resolved amicably via informal negotiation shall submit to the exclusive jurisdiction of the competent courts of Ireland.
9. Modifications and Termination
We reserve the right to revise or replace these Terms at our sole discretion. Material alterations will be indicated by revising the "Last Updated" date at the head of this document. Continued usage after modifications indicates your acceptance. We may suspend or terminate your account access at any time for violation of these Terms or to satisfy regulatory directives.
